Lead411("The Service") The Service is an online information service from Lead411. By using the Service, the subscribing enterprise ("the Client") agrees to be bound by all of the Terms and Conditions set forth in this Subscription Agreement.
Lead411 reserves the right to make any changes to these Terms and Conditions at any time. The Client is bound to the changes in these Terms and Conditions as long as the Client's subscription is active. Any violation of these Terms and Conditions will jeopardize the Client's future use of the Service, and, upon any such violation, the Client's account will be subject to immediate suspension or termination.
1.1 Under the terms of a Subscription, access to Lead411 content is only available to the maximum number of designated and named users purchased, unless otherwise noted. A user is defined as a single named individual within the Client's enterprise who completes the Business Subscription registration process, providing all requested information. Should additional users above the maximum number Client purchased be required, Client must notify Lead411 and register such users. The Client's Subscription is specific to the users designated and is not a concurrent-use license. Individually registered passwords cannot be shared beyond the maximum number of users purchased. In the event that Lead411 determines that Client has exceeded the designated number of users purchased, Client will have 30 days to remedy, either by upgrading its number of users, or by limiting access to the number of users purchased. Lead411 reserves the right to suspend or terminate Client's access immediately, without further notice or refund, if violation of these Terms and Conditions continues.
1.2 The Client agrees to provide complete and true information about the Client upon subscription and registration. If there are any changes to the information, it is the sole responsibility of the Client to notify Lead411 immediately by phone or at http://dev.lead411.com/profile.taf. If it is discovered that the information given by the Client is false and/or incomplete, then Lead411 reserves the right to immediately suspend or terminate the Client's Business Subscription.
1.3 The Client is responsible for any and all activity under the Subscription, as well as for maintaining the confidentiality of and the use of user names and/or passwords. Lead411 cannot be held liable for any loss or damage if the Client does not comply with these Terms and Conditions.
1.4 The information available through the Service is the property of Lead411, or its licensors, and is protected by copyright and other intellectual property laws. Information received through the Service may be displayed and printed for the Client's in-house use only. Client agrees not to reproduce, retransmit, photocopy, distribute, disseminate, publish, broadcast or circulate the information received through the Service to anyone, directly or indirectly, outside of the Client's company or organization without the express prior written consent of Lead411. Client agrees to communicate such restrictions on use to all individuals within its organization who will have access to the Service.
1.5 You may not post any content from the Service to newsgroups, mail lists, or electronic bulletin boards without the prior written consent of Lead411
1.6 Lead411 retains the right to monitor all accounts to ensure quality and compliance with these Terms and Conditions. Any violation of these terms may result in immediate suspension and/or termination of the Client's Subscription, without refund. Systematic access or extraction of content from the Service, including, but not limited to, the use of "bots," "crawlers" or "spiders," is prohibited.
1.7 The Service includes facts, views, opinions, and recommendations of individuals and organizations deemed of interest. Lead411, does not guarantee accuracy, completeness, or timeliness, or otherwise endorse any views, opinions, or recommendations, give investment advice, or advocate the purchase or sale of any security or investment.
2.1 Due to the number of sources from which information on the Service is obtained and the inherent hazards of electronic distribution, there may be delays, omissions, or inaccuracies in such information and the Service.
2.2 Lead411, and its affiliates, agents and licensors cannot and do not warrant the accuracy, completeness, currentness, noninfringement, merchantability, or fitness for a particular purpose of thenews and information available through the service, or the service itself. Neither Lead411, nor its affiliates, agents or licensors shall be liable to client or any other third party for any loss or injury caused in whole or in part by its negligence or contingencies beyond its control in procuring, compiling, interpreting, reporting or delivering the service and any news and information through the service. In no event will Lead411, its affiliates, agents, or licensors be liable to client or any third party for any decision made or action taken by client and/or any third party in reliance on such information, or for any lost profits, consequential, special or similar damages, even if advised of the possibility of such damages. Client agrees that the liability of Lead411, its affiliates, agents, and licensors, if any, arising out of any legal claim (whether in contract, tort or otherwise) in any way connected with the service or the information provided by the service shall not exceed the amount paid to Lead411 by client for use of the service.
2.3 Lead411, may discontinue or change the Service, or its availability to Client, at any time without notice. This Agreement is specific to Client, and Client may not assign its rights or obligations to another entity. In the event of the purchase of substantially all of the equity interests or assets of Client, the rights under this license may be assumed by the purchaser. If any provision of this Agreement is invalid under applicable law, the remaining provisions will continue in full force and effect. This Agreement, all intellectual property issues, and Client's rights and obligations shall be governed by the laws of the United States of America and the State of California governing contracts wholly entered into and wholly performed within California.
3.1 Monthly Perpetual Subscriptions with minimum term requirements1. Basic: Minimum 3 months
3.2 All subscriptions purchased through the Lead411 website are monthly perpetual beyond their minimum required time & must be terminated by the customer. After the first payment is made, activation to the service/site occurs. These subscriptions will be charged up front or monthly depending on the arrangement.
3.3 Yearly Enterprise subscriptions will occur through a direct agreement with Lead411 and the client. These terms can vary and will be determined between Lead411 and the client.
3.4 These subscriptions will be renewed monthly or yearly depending on the arrangement.
3.5 Pro and Team accounts are 6-month commitments, Lead411 reserves the right to not issue refunds before this commitment is fulfilled.
4.1 Subscriptions purchased through the Lead411 website will automatically renew thirty days from the date of purchase at the then current price for the number of users the Client has registered. Payment will be billed to the credit card or banking information on file, or Client will be invoiced, as applicable.
5.1 Subscription to the Service may be terminated at any time, and without cause, by Lead411, the site or the client upon notification of the other by electronic or conventional mail, or by telephone or fax. When the client requests termination, subscription fees are NOT refunded. The client is liable for charges incurred by them until termination of service. We require that you provide some information for the Member Portions of our site. Lead411 reserves the right to request any additional information necessary to establish and maintain your account for use of the Member Services. We will know who the Members are because they have signed up.
Member Cookies- If your browser supports cookies, we will put some membership information on your hard drive as a cookie in order to allow you to login easier, etc. This information will also be used to find out how many times a member comes to the site and what pages they use most frequently.
If you provide us with your email as a Member, we use this information for three purposes; 1.) Sending you the Daily eMail Newsletter, 2.) Sending you Reply eMails for any contact that you have made to us, and 3.) Sending you information about new updates or features with Lead411. We do not sell, rent, or loan our email listings to outside companies.

All submitted information is treated as confidential by Lead411 staff, affiliates, and advisors. We never show the detailed Registration Information gathered in the application process to anyone outside the Lead411 team. Lead411 reserves the right, and you specifically grant the right, for us to refuse, delete, edit, and modify any submitted information.
The Member Portion of the website is password protected. Lead411 is not using a secure server. Those parties submitting information to Lead411 that have a security concern sending certain information over the Internet should use one of the three alternative methods of: phone number, fax, or postal mail.
In order for a Member to change or modify its password, eMail and/or user name, send an email to the following address: email@example.com. We will contact you to change your information.
If you lose your password, you may re-acquire it from the page. If your password is stolen or used without your permission, immediately notify Lead 411 Sales Leads.
